Extraordinary general meeting — 30 October 2026
The shareholders of Cloud Explorers AB (publ), reg. no. 559587-5559, are hereby given notice of an extraordinary general meeting to be held on Friday 30 October 2026 at 13.00 CET at Vasagatan 12, 8th floor, Stockholm. The notice was published on 16 October 2026. The Swedish notice (kallelse) is the authoritative text; the summary below is provided in English for convenience.
Documents
The proxy must be dated and signed to be valid; a proxy issued by a legal entity is signed by an authorised signatory with a copy of the certificate of registration or equivalent attached. Sending the form is not a notification of attendance — shareholders who wish to participate must also notify the company as set out below. A copy of the proxy and any documents of authority should be sent in good time before the meeting to Cloud Explorers AB (publ), Vasagatan 12, 111 20 Stockholm or to info@cloudexplorers.com; the original is presented at the meeting.
The notice, the proxy form and information on the proposed board member are available at the company's offices at Vasagatan 12, 111 20 Stockholm and on this page from 16 October 2026, and are sent free of charge to shareholders who request them and state their postal address.
Right to participate
Shareholders who wish to participate must be recorded in the share register kept by Euroclear Sweden AB on 22 October 2026, and must notify the company of their participation no later than 26 October 2026. Notification is made by post to Cloud Explorers AB (publ), Vasagatan 12, 111 20 Stockholm, or by e-mail to info@cloudexplorers.com, stating name, personal or corporate identity number, address, telephone number and, where applicable, the number of assistants (at most two) and any proxy.
Proxies. A proxy must present a signed and dated power of attorney. A representative of a legal entity must also present a certificate of registration or equivalent document of authority. A power of attorney is valid for at most one year from issue, unless a longer period — at most five years — is stated in it. A proxy form is made available on this page and is sent to shareholders who request it and state their postal address.
Nominee-registered shares. Shareholders whose shares are registered in the name of a nominee must, in addition to notifying the company, have the shares registered in their own name so that they are recorded in the share register on 22 October 2026. Such voting-rights registration may be temporary and is requested from the nominee in accordance with the nominee's procedures; registrations made by the nominee no later than 26 October 2026 are taken into account.

Proposals
Item 7 — Number of board members. The shareholder proposes that the number of board members elected by the general meeting be increased from three to four, with no change to the number of deputies.
Item 8 — Election of a new board member. The shareholder proposes that Magnus Wiklund be elected as a new board member for the period until the end of the next annual general meeting. Magnus Wiklund, born 1970, holds a degree in business administration and has many years' experience of company management, business development and financing. He has previously been chief executive of several companies and CFO of Xoma AB. He is currently chief executive of Wikson Consulting AB and holds several board positions, including at Latitude 65 AB.
Item 9 — Remuneration of the new board member. The new board member is to receive remuneration at the same annual level as resolved by the general meeting on 29 May 2026 for the other ordinary board members, SEK 125 000, pro-rated for the period from taking office until the end of the next annual general meeting. Earlier remuneration resolutions continue to apply to the board members already elected.
Item 10 — Authorisation for the board to issue shares, convertibles and warrants. The board proposes that the meeting authorise the board, on one or more occasions until the next annual general meeting, to resolve on new issues of shares, convertibles and/or warrants, against payment in cash, by set-off and/or in kind, with or without deviation from the shareholders' pre-emptive rights. The authorisation covers issues within the limits of the articles of association for share capital and number of shares, including shares that may arise through conversion of convertibles or exercise of warrants. The purpose, and the reason for any deviation from pre-emptive rights, is to give flexibility for acquisitions of companies, businesses or parts thereof, to increase the company's financial flexibility and to broaden the shareholder base. Issues under the authorisation are to be made on market terms, taking the transaction as a whole into account; warrants may be issued without consideration. The board, or whoever the board appoints, is authorised to make the minor adjustments to the resolution that may prove necessary for registration with the Swedish Companies Registration Office. A valid resolution requires the support of shareholders representing at least two thirds of both the votes cast and the shares represented at the meeting.

Shareholders are reminded of their right to request information from the board and the chief executive at the meeting in accordance with Chapter 7, Section 32 of the Swedish Companies Act (2005:551).
